$495.00 for transactions up to $1 Million and $795.00 for transactions over $1 Million, which includes the completed Regulation D Private Placement Offering Memorandum, 500 names and addresses of private investors in your locale (or a geographical area you choose). Should additional investor contacts be desired you may purchase them in increments of 500 for $500.00 prepaid. Payment may be conveniently made through PayPal, bank wire, or cashiers check.
What do other companies charge for private placement preparation?
Combinations of services and costs vary, but here are some examples.

What if our funding requirements require a much greater, a national effort? Are any other services available on a larger scale?
Yes. We do believe that most funding requirements can be met locally as you and investors can meet eye-to-eye and this has many advantages. For larger transactions where the client believes a nationwide effort is required we will provide a custom quote for the combination of a Reg D PPM and national telemarketing efforts reaching out to thousands of Accredited Investors, Angel Investors, and others.

Why couldn’t I just show investors my business plan? Why do a Private Placement?
Savvy private investors know that they are dealing with a sophisticated individual when you share the fact you have prepared and filed a Private Placement. This document sets out the terms under which you are prepared to do business. This takes away the tendency of some investors to change the rules, so to speak. Additionally, the presence of a private placement puts all parties on notice that the transaction is coming under the legal guidelines of the state as well as the federal securities law provisions. Most principals and investors prefer the comfort of knowing there is some oversight to private investor transactions.
What do I need to provide in the way of documents for this program?
We will provide a list of the normal items generally required. If the company seeking financing has an operating history then you will need audited financials. If there is any way to seek funding using a new company this may be easier. You may use an LLC or “C” corp as the entity type for raising funds using a Reg D program. If you haven’t formed a company yet, many have found that filing in Nevada has its advantages. If you would like for us to do this for you we charge $495.00 which includes the initial basic filing and a resident agent fee for one year. You may, of course, do this yourself if you wish.
